Experienced mergers and acquisitions lawyer to be based in Beijing or Hong Kong. Must have experience assisting businesses from China with investments in oversees businesses.

Description

1、Lead legal aspects of planning for and negotiation of PRC onshore and offshore investment and M&A projects;
2、Advise investment teams on legal aspects of projects and ensure compliance with investment and M&A-related internal policies and procedures;
3、Provide post-transaction legal support with respect to projects;
4、Supervise outside counsels on projects and assist the Lead Transaction Counsel with the management of outside counsel for investment and M&A projects;
5、Assist the Lead Transaction Counsel to refine investment and M&A-related internal policies and procedures;
6、Assist with drafting and maintenance of standard forms (English and Mandarin);
7、Monitor legal developments relevant to investment and M&A projects and assist with training to legal and investment teams on all legal aspects of such projects; and
8、Perform other related work as assigned.

Requirement

1、8+ years post-graduation experience in a leading international or PRC law firm and/or investment fund
2、Extensive PE/VC and M&A transactional experiences focused on Mainland China, including both onshore and offshore structuring
3、UK, US or HK qualification required, PRC qualification would be a bonus
4、Strong knowledge of PRC laws relevant to PE/VC and M&A transactions
5、Excellent command of both English and Mandarin and ability to participate in commercial discussions and review legal documents in either language
6、Exposure to IT / technology / e-business industry would be highly advantageous
7、Commercially minded
8、Team player and ability to work with minimum supervision
9、Excellent interpersonal skills
10、Ability to work under pressure and meet deadlines
